Simfluence.io (“Simfluence”, “we”, “us”, “our”)

These Terms of Service (“Terms”) govern your access to and use of the Simfluence website, interactive simulation widgets, embedded tools, custom simulation services, and related content (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

Simfluence (SIMFLUENCE OÜ, registry code 12301356, registered in the Estonian Business Register) is a European Union–based company providing interactive simulations for mainly communication purposes.

1. Use of the Services

Simfluence provides:

  • Interactive simulation widgets

  • Embedded simulation tools

  • Custom simulation development

  • Digital content related to modelling and systems thinking

You may:

  • View and interact with simulations

  • Embed licensed simulations where explicitly permitted

  • Purchase or license simulations under agreed terms

  • Submit briefs, feedback, or project materials

You may not:

  • Copy, reproduce, resell, sublicense or redistribute simulations without written permission

  • Change the simulation code or structure yourself without permission

  • Reverse engineer, decompile or attempt to extract source code

  • Use the Services for unlawful purposes

  • Interfere with system integrity, security or availability

  • Share project-related information (including final price) with third parties

You are responsible for all your activity related to the simulation usage and information provided to create the simulation for you.

2. User Content

If you submit content (including project briefs, comments, inputs, datasets or feedback) (“User Content”):

  • You retain ownership of your content.

  • You grant Simfluence a non-exclusive, worldwide, royalty-free license to use such content solely for the purpose of providing the Services and related tasks. 

You represent that your User Content:

  • Does not infringe third-party intellectual property rights

  • Does not contain unlawful, harmful or malicious material

  • Does not include confidential information you are not authorized to share

Simfluence may remove content that violates these Terms.

3. Intellectual Property

All intellectual property rights in:

  • Simulation engines

  • Widget architecture

  • Visual systems

  • Source code

  • Designs

  • Documentation

remain the exclusive property of Simfluence or its licensors.

Purchasing or licensing a simulation grants you only the usage rights explicitly defined in your license agreement.

No ownership of underlying software or models is transferred.

Simfluence has the right to use the simulation as a case study or reference for promoting the Simfluence service if not agreed otherwise.

4. Feedback

If you provide ideas, suggestions, or improvements (“Feedback”):

  • Simfluence may use such Feedback without restriction

  • No compensation is owed unless otherwise agreed in writing

  • Simfluence may not accept the suggestions or feedback sent to us after accepting the simulation specification or delivered simulation

5. Term and Termination

We may suspend or terminate access if:

  • You violate these Terms

  • Payment obligations are not fulfilled

  • Continued access poses a security or legal risk

Upon termination:

  • All licenses granted under these Terms immediately cease

6. Disclaimer

The Services are provided “as is” and “as available”.

Simulations:

  • Are educational and illustrative tools

  • Do not constitute financial, medical, legal, or strategic advice

  • Provide model-based outputs, not guarantees of real-world outcomes

7. Corrections and Updates

We reserve the right to:

  • Modify simulations

  • Update pricing

  • Correct errors or inaccuracies

We may update these Terms from time to time. Continued use constitutes acceptance of revised Terms.

8. Limitation of Liability

To the extent permitted by applicable law:

Simfluence’s total liability arising out of or relating to the Services shall not exceed the amount paid by you in the preceding 12 months.

This limitation does not apply to:

  • Fraud

  • Willful misconduct

  • Liability that cannot be excluded under EU law

9. Intellectual Property Claims

If you believe your intellectual property has been infringed, please contact:

Include:

  • Identification of the copyrighted work

  • Location of the allegedly infringing material

  • Your contact details

  • A statement of good-faith belief

10. Privacy and Data Protection

Simfluence processes personal data for the purpose of offering quality service.

We collect limited personal data such as:

  • Name

  • Email address

  • Business name 
  • Business related details provided

  • Billing details

  • Technical usage data

Data is processed mainly for:

  • Service delivery

  • Contract performance

  • Communication

  • Legal compliance

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the European Union and the Member State in which Simfluence is legally registered.

Any disputes shall be resolved in the competent courts of that jurisdiction.

12. Entire Agreement

These Terms constitute the entire agreement between you and Simfluence regarding use of the Services.

If any provision is found unenforceable, the remainder shall remain in effect.
